2. Acceptance of These Terms
By accessing our website, requesting a quotation, submitting an order, making a payment, approving artwork, or purchasing any product or service from Special Printers, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you do not agree with these Terms, you should not place an order with Special Printers. These Terms apply to all customers, including individuals, businesses, organizations, agencies, resellers, distributors, and other commercial customers.

4. Factory-Direct and International Production
Special Printers may source, manufacture, print, package, or arrange fulfillment through registered, approved, or contracted manufacturing facilities in China and other countries.

6. Competitive Pricing
Special Printers aims to provide customers with highly competitive printing and manufacturing prices through its international supplier and production network. Any statement regarding “low-cost,” “factory-direct,” “competitive,” “affordable,” or similar pricing is subject to the specific product specifications, quantity, destination, shipping method, production requirements, and market conditions applicable to the order. Unless expressly stated in a written quotation or separate written price guarantee, Special Printers does not guarantee that its price will be lower than every competing supplier or manufacturer.

7. Minimum Order Quantities
Certain products may require a minimum order quantity (“MOQ”).
The MOQ will depend on the product, material, printing process, factory, and production requirements.
The applicable MOQ will be communicated to the customer before order confirmation where reasonably possible.
A customer may not cancel an order solely because the manufacturing facility requires compliance with a previously disclosed MOQ.

9. Artwork and Design Submission
Customers are responsible for providing accurate and production-ready artwork unless Special Printers has separately agreed to provide design services.
Customers must ensure that submitted artwork contains:

Before production, Special Printers may provide a digital proof, mockup, sample, or production approval proof.
The customer is responsible for carefully reviewing the final proof.
Once the customer provides approval, production may begin.
After approval, Special Printers will generally not be responsible for customer-approved errors, including:

11. Color and Printing Variations
Printing is an industrial manufacturing process.
Minor variations may occur between:

Colors displayed on computer monitors, tablets, and mobile devices may differ from physical printed colors.
Unless a specific color standard or approved physical sample is expressly agreed upon in writing, reasonable color variation will not necessarily constitute a manufacturing defect.
12. Samples and Pre-Production Proofs
Where available, customers may request a physical sample or pre-production proof.
Sample production may involve additional charges and may extend the overall production schedule.
A sample may not be identical to the final production run if different equipment, materials, production methods, or finishing processes are used.
The applicable quotation will determine whether sampling fees are refundable, credited, or non-refundable.
13. Order Confirmation
An order will generally be considered confirmed when:

The customer has accepted the quotation;

Required artwork or specifications have been supplied;
-
Required artwork has been approved; and
-
The required payment or deposit has been received.
Special Printers may decline or cancel an order before production where necessary due to production limitations, payment issues, legal requirements, supply issues, or other legitimate business reasons.
14. Payment Terms
Payment terms will be specified in the customer's quotation, invoice, or order confirmation.
Depending on the order, Special Printers may require:

Balance payment before shipment; or

Other agreed payment arrangements.
Production may not begin until the required payment has been received and cleared.
The customer is responsible for ensuring that all payment information is accurate.
15. Late or Failed Payments
If a customer fails to make a required payment, Special Printers may:

Charge applicable storage or handling costs;

Require additional payment before resuming production; or

Where door-to-door delivery is offered, the applicable shipping quotation will identify the shipping service and any applicable charges.

18. Special Shipments LLC
Special Printers may arrange international shipping through Special Shipments LLC or other third-party logistics providers.
Special Shipments LLC may operate separately from Special Printers LLC.
Where a third-party carrier, freight forwarder, customs broker, or logistics company is used, that provider's applicable terms may also apply to the transportation portion of the order.
Special Printers is not responsible for delays caused solely by third-party transportation providers, customs authorities, government agencies, weather events, strikes, transportation disruptions, or circumstances beyond our reasonable control.
19. Customs, Duties, Taxes, and Import Charges
International shipments may be subject to:

20. Delivery Address
Customers must provide a complete and accurate delivery address.
The customer is responsible for:

Additional charges caused by an incorrect or incomplete address may be charged to the customer.

21. Inspection of Goods
Customers should inspect products as soon as reasonably possible after delivery.
Customers should notify Special Printers of any apparent:

Significant production issue
Claims should generally be submitted within 7 calendar days of delivery unless a different period is required by applicable law or specified in the applicable order agreement.
Customers may be asked to provide photographs, videos, packaging information, shipping labels, order details, and other evidence necessary to investigate a claim.
22. Quantity Variations
Custom manufacturing may occasionally result in a small production quantity variance.
Where a commercially reasonable production tolerance has been disclosed or agreed, delivery of a quantity within that tolerance will not constitute a defect.
Where the final quantity materially differs from the confirmed quantity, Special Printers may, at its discretion and subject to applicable law:

Provide a partial refund;

Provide a credit;
-
Reproduce the affected quantity; or
-
Offer another commercially reasonable remedy.
23. Defective or Incorrect Products
If Special Printers determines that products contain a material manufacturing defect or that an incorrect product was supplied due to an error attributable to Special Printers, we may, depending on the circumstances:

Issue a partial refund;

25. Order Cancellation
Customers may request cancellation before production begins.
Cancellation requests must be submitted in writing.
Once production, material procurement, tooling, printing, packaging, or other fulfillment activities have commenced, cancellation may not be possible.
If cancellation is permitted after work has begun, the customer may be responsible for costs already incurred, including:

26. Intellectual Property
Customers retain ownership of intellectual property they lawfully provide to Special Printers, subject to any rights of third parties.
Customers represent and warrant that they have the necessary rights and permissions to use and reproduce all materials submitted to Special Printers.
This includes:

Photographs

Illustrations

Customers must not submit materials that infringe another person's intellectual property rights.
27. Customer Responsibility for Copyright and Trademarks
The customer is solely responsible for ensuring that submitted artwork and product content does not infringe third-party rights.
Special Printers may refuse to manufacture products where we reasonably believe that the requested production may violate intellectual property rights, applicable laws, regulations, sanctions, or other legal requirements.
The customer agrees to indemnify Special Printers for claims arising from materials supplied by the customer that allegedly infringe third-party rights, to the extent permitted by applicable law.
28. Prohibited Products and Content
Special Printers may refuse orders involving products or content that we reasonably believe:

Violates applicable law;

Infringes intellectual property rights;
-
Contains illegal content;
-
Promotes unlawful activity;
-
Violates applicable sanctions or trade restrictions;
-
Requires licenses or permits that the customer does not possess;

Creates unreasonable legal or regulatory risk; or

Cannot lawfully be manufactured, exported, imported, or delivered.
We may request additional documentation where necessary.
29. Product Compliance
The customer is responsible for ensuring that customized products comply with the laws and regulations applicable to their intended market.
This may include requirements concerning:

Environmental requirements

30. Manufacturing Tolerances
Custom manufacturing involves reasonable production tolerances.

The customer's quotation and approved order specifications take precedence over general website descriptions where they conflict.
33. Website Availability
We do not guarantee that the Special Printers website will always be:

We may modify, suspend, or discontinue portions of the website without prior notice.

Changes will generally apply to future orders and transactions unless otherwise required by law.

45. Governing Law
These Terms shall be governed by the applicable laws of the jurisdiction identified in the customer's applicable contract, quotation, or order documentation, subject to mandatory laws that may apply to the transaction. Where no separate written agreement identifies a different governing law, the parties intend for the laws applicable to Special Printers LLC's U.S. operations to govern these Terms, without regard to conflict-of-law principles, to the extent permitted by applicable law.

46. Dispute Resolution
The parties agree to first attempt to resolve disputes through good-faith communication. Customers should contact Special Printers before initiating formal proceedings and provide reasonable details concerning the dispute. Where the parties cannot resolve a dispute informally, the dispute may be submitted to the courts or other dispute-resolution mechanism having jurisdiction under applicable law and the applicable order documentation. Nothing in this section prevents a party from seeking legally available emergency or injunctive relief.

47. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

48. No Waiver
Failure by Special Printers to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

49. Entire Agreement
These Terms, together with the applicable quotation, invoice, order confirmation, product specifications, artwork approval, shipping terms, privacy policy, and any separately signed agreement, constitute the agreement between Special Printers and the customer concerning the applicable transaction.
If there is a conflict between documents, the following order will generally apply:
